These Terms of Service (“Terms”) govern your access to and use of the services provided by NSKY CLOUDVERSE SOLUTIOS INC. (“NSKY,” “we,” “us,” or “our”), including the Nero Discovery platform, the 15-Minute Audit, and related tools (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
The Services are intended for use by businesses and their authorized representatives. By using the Services, you represent that you have the authority to bind the organization on whose behalf you are accessing the Services to these Terms.
2. Description of Services
2.1 The 15-Minute Audit
NSKY provides an automated analysis of Google BigQuery environments. The audit scans metadata (table schemas, partition configurations, query job statistics) from your INFORMATION_SCHEMA views to identify optimization opportunities, including partition gaps, shadow compute waste, and high-cost query patterns.
2.2 Scope of Analysis
The audit is limited to metadata analysis only. NSKY does not read, copy, download, or analyze the actual contents of your BigQuery tables, query results, or row-level data. All findings are generated from structural and operational metadata.
2.3 Recommendations, Not Guarantees
Cost savings projections and optimization recommendations provided by NSKY are estimates based on the metadata analyzed at the time of the audit. Actual savings depend on your implementation decisions, usage patterns, pricing model, and other factors outside our control. NSKY does not guarantee specific cost reductions.
3. Account and Authentication
3.1 Google Authentication
Access to the Services requires authentication via Google Sign-In. You are responsible for maintaining the security of your Google account. NSKY is not responsible for unauthorized access resulting from compromised Google credentials.
3.2 Service Account Provisioning
During onboarding, NSKY may create a read-only service account (nsky-nero-discovery-agent) in your GCP project. This service account is granted minimum necessary permissions (BigQuery Metadata Viewer and Resource Viewer). You may revoke NSKY's access at any time by deleting this service account from your GCP IAM console.
4. User Responsibilities
You agree to:
- Provide accurate GCP project information during onboarding
- Ensure you have appropriate organizational authority to grant NSKY read-only access to your BigQuery metadata
- Not attempt to reverse-engineer, disassemble, or decompile the NSKY scanning algorithms or proprietary analysis methods
- Not use the Services for any purpose that is unlawful or prohibited by these Terms
- Comply with all applicable Google Cloud Platform terms of service and acceptable use policies
5. Intellectual Property
The Services, including the scanning algorithms, dashboard visualizations, recommendation engine, and all associated intellectual property, are and remain the exclusive property of NSKY CLOUDVERSE SOLUTIOS INC. These Terms do not grant you any rights to NSKY's trademarks, service marks, or trade names.
You retain all rights to your data. NSKY claims no ownership over the metadata analyzed during the audit or the optimization recommendations generated from your specific environment.
6. Data Processing and Privacy
Our collection and use of your information is governed by our Privacy Policy. Key provisions include:
- Zero-Retention Architecture: BigQuery metadata is analyzed in-flight and not permanently stored
- US-Central1 Data Residency: All processing occurs in
us-central1(Iowa, USA) - Immediate Token Revocation: OAuth access tokens are revoked immediately after the provisioning step
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NSKY CLOUDVERSE SOLUTIOS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
NSKY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NSKY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. NSKY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NSKY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY COST SAVINGS PROJECTIONS WILL BE ACHIEVED.
9. Indemnification
You agree to indemnify and hold harmless NSKY CLOUDVERSE SOLUTIOS INC. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
10. Termination
Either party may terminate the use of the Services at any time. You may terminate by deleting the nsky-nero-discovery-agent service account from your GCP project and discontinuing use of the platform. NSKY may suspend or terminate your access if you violate these Terms or if required by law.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware.
12. Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
